ABOUT TODD B. NURICK

Business Attorney & Fractional General Counsel

For nearly 30 years, I've advised businesses, executives, owners, and entrepreneurs on the legal issues that arise in running, growing, protecting, and transitioning a business.

My experience includes private practice, in-house legal leadership, Outside General Counsel and Fractional General Counsel work, and service as a U.S. Army Judge Advocate. That combination shapes how I practice today: understand the business first, identify the real legal and practical risks, and give clients clear advice they can use to make decisions and move forward.

A Business Lawyer Who Understands the Business

I began practicing law in 1996, and business law has been at the center of my career ever since. I've represented companies at different stages of their development and worked directly with the owners, executives, managers, and professionals responsible for making those businesses work.

That experience has taught me that the best legal answer isn't always found by looking at a legal issue in isolation. A contract affects operations. An employment decision affects management and culture. A transaction can create tax, financing, regulatory, intellectual property, personnel, and long-term strategic consequences. Good business counsel has to understand how those pieces fit together.

My practice reflects that approach. I advise clients on commercial agreements, corporate governance, acquisitions and other transactions, employment issues, intellectual property and licensing, technology and software agreements, real estate, regulatory matters, investigations, risk management, and the many legal questions that arise in day-to-day business operations.

The goal isn't to make legal issues more complicated. It's to understand what the client is trying to accomplish, identify what matters, protect against the risks that warrant attention, and help the business move forward.

In-House Experience. Outside Perspective.

I've practiced from both sides of the traditional attorney-client relationship.

Earlier in my career, I served in senior in-house legal roles, including as chief counsel to subsidiaries of a multibillion-dollar parent company. My work included advising operating businesses, supporting executives and management teams, negotiating complex commercial relationships, and working on domestic and international transactions.

I've also spent decades in private practice representing businesses as their outside counsel. That combination is particularly valuable in my work as Fractional General Counsel and Outside General Counsel today.

I don't view a client's legal work as a collection of unrelated assignments. When I work closely with a business, I want to understand how it operates, where it is going, who makes the decisions, where the pressure points are, and which risks actually deserve management's attention.

That allows me to provide something closer to an in-house legal relationship: continuing knowledge of the company and its priorities, without requiring the company to build a full-time internal legal department.

Experience That Extends Beyond Private Practice

My professional experience also includes service as a U.S. Army Judge Advocate.

As a National Security Judge Advocate and Operations Judge Advocate, I advised military leaders and supported operational, investigative, and national-security matters requiring careful judgment, discretion, and the ability to assess risk in situations where the consequences were real and decisions could not simply be deferred.

That experience reinforced principles that are equally important in representing businesses: understand the mission, identify the relevant facts, distinguish significant risks from distractions, communicate clearly, and give decision-makers advice they can act on.

My business perspective began even earlier. Before law school, I earned my bachelor's degree in Business Logistics from Penn State. I have always been interested not only in what the law requires, but in how organizations, people, contracts, systems, and commercial relationships actually work together.

How I Work With Clients

Clients generally don't come to me because they want a legal memorandum. They come to me because something needs to be decided, negotiated, fixed, protected, structured, or accomplished.

My job is to understand both the legal issue and the business objective behind it.

That means being willing to give a recommendation, not simply identify every conceivable risk. It means explaining issues in plain language, being accessible when decisions need to be made, and recognizing that businesses sometimes need a practical path forward rather than a theoretical answer.

For clients I work with on an ongoing basis, the relationship becomes even more valuable over time. The better I understand the company, its people, its contracts, its history, and its objectives, the more effectively I can anticipate issues and help management address them before they become larger problems.

I want clients to be able to call me before the problem, not just after it.
