Clients generally come to me because something needs to be negotiated, structured, protected, evaluated, fixed, or accomplished.
My job is not simply to identify every legal issue that could exist. Decision-makers need to know which issues matter, what the realistic options are, and what I recommend.
That requires understanding the client's objectives as well as the law. Sometimes the answer is to revise an agreement. Sometimes it is to negotiate a different allocation of risk, document a business decision more carefully, involve another professional, or determine that a particular risk is acceptable in light of the larger objective.
I try to give advice that management can use: clear enough to understand, practical enough to implement, and grounded in the realities of operating a business.
When to Involve a Business Attorney
Legal advice is often most useful before a decision has been finalized or a problem has become urgent.
- Before signing or materially changing an important contract.
- When buying, selling, restructuring, or entering into a significant business relationship.
- When ownership, governance, or management responsibilities are changing.
- Before making an employment decision that may create legal or business consequences.
- When a dispute, internal concern, investigation, or compliance issue begins to develop.
- When a new product, service, technology, license, lease, or commercial arrangement creates unfamiliar obligations.
Involving counsel earlier does not mean turning every business decision into a legal project. It means identifying important issues while there is still time to address them efficiently and preserve the client's options.
