LAW OFFICE OF TODD B. NURICK

FRACTIONAL GENERAL
COUNSEL
Ongoing Legal Counsel for the Business Behind the Legal Issue
Some businesses need experienced legal guidance on an ongoing basis but don't need or aren't ready for a full-time in-house lawyer.
As Fractional General Counsel, I work with business owners, executives, and management teams on the legal issues that arise across the company. The relationship goes beyond answering an isolated question or reviewing a single agreement. I learn the business, understand its priorities and risk tolerance, and provide continuing legal guidance as decisions are made.
For many clients, that means having a lawyer who already knows the company when the next contract, employment issue, transaction, investigation, or unexpected problem arrives.
What a Fractional General Counsel Does
A Fractional General Counsel provides ongoing legal support without requiring the company to build a full-time internal legal department.
The value comes from continuity. Instead of beginning each assignment with a lawyer who has to learn the company from scratch, I develop an understanding of the business, its people, its commercial relationships, its history, and the way management makes decisions.
That context matters. A contract may affect operations, revenue, technology, personnel, insurance, or an important commercial relationship. An employment decision may have consequences beyond employment law. A transaction may involve corporate, financing, intellectual property, regulatory, and practical business concerns at the same time.
Knowing the company helps me identify those connections and give advice that fits the business rather than treating every issue as a separate legal exercise.
Legal Support Across the Business
The legal needs of an operating business rarely stay within one category. My Fractional General Counsel work can extend across the areas where legal issues and business decisions intersect.
Commercial Contracts
Drafting, reviewing, negotiating, and helping management evaluate agreements with customers, vendors, contractors, strategic partners, and other businesses.
Corporate Governance
Supporting owners and management with governance, internal decision-making, business structure, ownership issues, and significant company actions.
Employment & Workplace Issues
Advising management on employment agreements, policies, personnel decisions, workplace disputes, and other legal issues involving employees and business operations.
Business Transactions
Providing legal guidance on acquisitions, sales, joint ventures, strategic relationships, and other transactions affecting the company.
Technology, Software & Licensing
Working with technology agreements, software and SaaS arrangements, licensing, service agreements, intellectual property issues, and related commercial relationships.
Real Estate & Commercial Relationships
Advising on leases, real-estate-related business issues, commercial arrangements, and contractual relationships affecting company operations.
Investigations & Risk
Helping businesses assess internal concerns, investigate potential misconduct or compliance issues, preserve relevant information, evaluate exposure, and determine an appropriate response.
Regulatory & Compliance Issues
Helping management identify legal and regulatory obligations, evaluate risk, and address compliance issues in the context of the company's actual operations.
When Fractional General Counsel Makes Sense
A Fractional General Counsel relationship can make sense when legal issues have become a recurring part of running the business and management would benefit from having counsel who already understands the company.
- The business regularly negotiates contracts or commercial relationships.
- Owners and executives are making decisions with legal consequences across multiple areas of the company.
- Management wants legal input earlier in the decision-making process rather than only after a problem develops.
- Employment, governance, compliance, or operational issues arise often enough that continuity matters.
- The company has outgrown purely ad hoc legal support but does not require a full-time internal legal department.
- Leadership wants one experienced attorney who can understand the broader business and help coordinate legal issues across the company.
My role is not simply to identify every conceivable risk. Management needs to know which risks matter, what the available options are, and what I recommend. The objective is practical legal advice that helps decision-makers move the business forward with a clearer understanding of the consequences.
Built on In-House and Outside Counsel Experience
My approach to Fractional General Counsel work comes from having practiced both inside businesses and as outside counsel.
Earlier in my career, I served in senior in-house legal roles, including as chief counsel to subsidiaries of a multibillion-dollar parent company. I advised operating businesses, worked directly with executives and management teams, negotiated complex commercial relationships, and supported domestic and international transactions.
I have also spent decades representing businesses from private practice. That combination gives me the perspective of someone who understands both what outside counsel can provide and what management expects from a lawyer who functions as part of the business.
Today, I bring those perspectives together in my work as Fractional General Counsel and Outside General Counsel.
